Terms and conditions for partners using the ZOKTO platform

ZOKTO Partner Terms of Use

Effective Date: 18 March 2026

ZOKTO Partner Portal/Application — Terms of Use, Acceptable Use, and Operational Data Handling Obligations Effective Date: 18 March 2026 These Terms are entered into between you and VYSN Technologies Private Limited (“VYSN,” “we,” “us,” or “our”) and govern your access to and use of the ZOKTO Partner Application/Portal and related partner operational features made available through ZOKTO workflows. For clarity: ZOKTO is a trademark/brand of VYSN Technologies Private Limited. ZOKTO Healthcare Private Limited is a subsidiary of VYSN Technologies Private Limited. Depending on the operational, legal, or compliance context, certain ZOKTO services, workflows, notices, or contractual references may also be issued, managed, or supported through ZOKTO Healthcare Private Limited.

1. Introduction

The Partner App exists to support operational task execution, including, where applicable, pickup and drop actions, medicine delivery, sample collection, pharmacy and laboratory operational processing steps, report handling workflows, and related status updates.

The Partner App may display limited patient, customer, and order or workflow information strictly for the purpose of enabling you to complete the tasks assigned to your role.

By using the Partner App, you agree to comply with these Terms and with all role-specific operational instructions presented within the Partner App.

2. Who These Terms Apply To

These Terms apply to:

  • Partner Users — individuals using an authenticated account approved for partner operations, including delivery, sample collection, pharmacy-side operations, lab-side operations, or similar operational roles; and
  • Partner Organizations or Entities — where applicable, the business, pharmacy, laboratory, logistics partner, or other entity on whose behalf you access or use the Partner App, to the extent that such entity controls your onboarding, access, permissions, or conduct within operational workflows.

If you use the Partner App on behalf of a partner entity, you represent and warrant that:

  • You are authorized to act on behalf of that entity for the relevant operational role; and
  • Your use of the Partner App is within the scope of your role and your partner entity’s permissions.

3. About the Partner App and ZOKTO’s Role

The Partner App forms part of the broader ZOKTO operational ecosystem.

ZOKTO is positioned as an operations and workflow coordination platform that enables execution by participating partner entities and authorized partner users.

The Partner App:

  • Does not provide medical advice;
  • Does not diagnose any medical condition;
  • Does not replace clinical judgment; and
  • Does not authorize you to act beyond your assigned operational role.

Nothing in the Partner App gives you authority to alter prescriptions, make clinical decisions, represent medical conclusions, or otherwise act as a doctor or licensed medical practitioner unless you separately hold such authority under law and are expressly authorized within the relevant workflow.

4. Acceptance of These Terms

You accept these Terms by:

  • Clicking an in-app acceptance button such as “Agree,” “Accept,” or “Continue,” where such option is presented; and/or
  • Accessing or using the Partner App using an authorized account.

If you do not agree to these Terms, you must not access or use the Partner App.

5. Eligibility and Authorized Use

The Partner App is not for public or general consumer use.

You may use the Partner App only if:

  • You have an authorized partner account enabled for partner operations; and
  • You use the Partner App only for assigned operational tasks and only within your permitted role.

You must not:

  • Create accounts through unauthorized means;
  • Use another person’s account;
  • Share access credentials with another person;
  • Attempt to access workflows, tasks, or data outside your approved operational scope; or
  • Use the Partner App for any personal, commercial, or non-operational purpose outside assigned ZOKTO workflows.

6. Role-Based Access and Scope of Use

Role-based and task-scoped access is fundamental to the Partner App. Not all partner users will have access to the same screens, information, workflows, or actions.

Your access is intended to be:

  • Role-based — limited to what your approved role permits;
  • Task-scoped — limited to what your assigned task requires;
  • Purpose-limited — limited to completing assigned operational work; and
  • Workflow-stage-specific — access and visibility may change as the workflow progresses.

Operational information shown to you through the Partner App is not “your” information to reuse. Any information you access through the Partner App — especially patient or customer details, addresses, prescriptions, lab or report information, and operational notes — is provided only for completion of the assigned task and remains subject to confidentiality, access-control, and purpose limitations.

7. Account Security and Access Responsibility

You are responsible for maintaining the security of your account and device, including:

  • Keeping your login credentials confidential;
  • Not sharing OTPs, passwords, or session access;
  • Using reasonable device security controls, such as screen lock and device-level protection;
  • Keeping your device environment reasonably secure; and
  • Logging out where appropriate, especially when using shared devices.

You must immediately report any suspected unauthorized access, lost or stolen device, account compromise, or credential misuse to your partner administrator and to us using the contact information stated in these Terms.

You must not allow any unapproved person — including friends, family members, temporary staff, or unrostered personnel — to access the Partner App using your device or credentials.

8. Permitted Operational Use

Subject to your role, permissions, and task assignment, you may use the Partner App only to:

  • View assigned tasks and role-appropriate task details;
  • Navigate to relevant pickup, drop, sample, report, or partner locations;
  • Contact relevant parties only to the extent necessary to complete an assigned task and only through permitted operational channels;
  • Update task progress and statuses truthfully and in a timely manner;
  • Upload proof photos and role-appropriate documents required by the workflow;
  • Record operational milestones, such as acceptance, pickup, handover, payment receipt where applicable, sample collection, report readiness, return acknowledgement, or similar workflow events;
  • Manage your availability or online/offline operational status where such functionality is provided; and
  • Receive operational reminders, alerts, or task notifications where available.

You must follow the workflow prompts, validation steps, and operational instructions presented in the Partner App, including requirements concerning proof capture, handovers, exceptions, escalations, and task completion.

9. Prohibited Conduct

You must not use the Partner App in any manner that compromises patient or customer privacy, partner trust, platform integrity, workflow accuracy, or operational safety.

9.1 Unauthorized Access and Role Misuse

You must not:

  • Access tasks, queues, screens, features, or data outside your role;
  • Access tasks that are not assigned to you or not intended for your operational scope;
  • Attempt to bypass role controls, task restrictions, or workflow gates; or
  • Impersonate another role, partner entity, partner user, or authorized person.

9.2 Off-Platform Misuse of Patient or Customer Information

You must not:

  • Save, export, copy, photograph, transcribe, or store patient or customer information outside authorized Partner App workflows, except where explicitly required for an authorized operational step and permitted by your partner entity;
  • Use patient or customer contact details for personal reasons or any non-task purpose; or
  • Contact patients or customers after task completion for non-operational follow-ups.

9.3 Solicitation, Harassment, and Side-Business Activity

You must not:

  • Solicit tips, payments, services, business, or referrals off-platform using information obtained through tasks;
  • Send promotions, marketing messages, or non-operational communications to patients or customers;
  • Harass, threaten, discriminate against, abuse, or intimidate any person during operational execution; or
  • Use the Partner App or information obtained through it to run or support side-business activity.

9.4 Dishonest Workflow Manipulation

You must not:

  • Mark a task as complete when it is not actually complete;
  • Falsify delivery, pickup, collection, payment, handover, report readiness, return, or similar workflow events;
  • Upload fake, edited, misleading, reused, or unrelated proof photos or documents; or
  • Coordinate with others to create false operational completion trails.

9.5 Security and Technical Abuse

You must not:

  • Use modified clients, scripts, bots, automation, or unauthorized tools to manipulate workflows or task outcomes;
  • Reverse engineer, tamper with, attack, probe, or interfere with the Partner App or platform infrastructure;
  • Attempt to disable, evade, manipulate, or confuse logs, audit trails, workflow validations, or monitoring systems; or
  • Spoof location, fabricate device signals, or otherwise manipulate device-level behavior where such signals are used for operational validation.

10. Data Handling and Confidentiality Obligations

This section is a core part of these Terms.

10.1 Confidential Operational Information

For the purposes of these Terms, “Confidential Operational Information” includes, without limitation:

  • Patient or customer names;
  • Phone numbers;
  • Addresses and location details;
  • Order or task details;
  • Prescriptions or prescription-linked information where relevant to workflow;
  • Lab sample, test, report, and report-related details or assets where relevant;
  • Proof photos and uploaded operational documents;
  • Workflow identifiers, timelines, internal notes, and related metadata; and
  • Internal operational instructions, queue logic, assignment information, and dispatch-related details.

10.2 Your Obligations

You must:

  • Access Confidential Operational Information only for the specific assigned task and only within your role;
  • Treat all such information as confidential and restricted;
  • Prevent unauthorized viewing, including by people near you, on shared devices, or through careless display of screenshots or uploads;
  • Avoid storing such information outside the Partner App except where expressly required for an authorized operational step; and
  • Use such information only for assigned operational execution and not for personal, commercial, off-platform, or unrelated purposes.

10.3 No Sharing and No Publishing

You must not:

  • Share screenshots, screen recordings, printed copies, or external forwards of task details, prescriptions, reports, or patient/customer contact information;
  • Publish any task-related patient or customer information on social media, status posts, channels, or messaging groups; or
  • Discuss identifiable customer details in public places or non-authorized channels.

10.4 Minimum Necessary Handling

Where proof or documentation is required, you must:

  • Capture and upload only what the task requires; and
  • Avoid including unnecessary faces, unrelated individuals, or unrelated personal information.

10.5 Local Storage Hygiene

If your device temporarily stores files during upload or processing, including cached images or documents, you must take reasonable steps to avoid unnecessary retention and, where feasible, avoid syncing such files to personal cloud storage or consumer backup services.

10.6 Incident Reporting

If you suspect:

  • A leak, loss, or unauthorized disclosure of Confidential Operational Information;
  • Unauthorized access to your account or device; or
  • Mistaken sending of an image, file, or task-related information to the wrong person or location,

You must promptly report the incident to your partner administrator and to us.

11. Task Updates, Proof Uploads, and Accuracy Obligations

You have a strict duty to provide truthful, timely, and accurate operational updates.

You must:

  • Perform task actions only when they actually occur;
  • Provide accurate timestamps and status updates as prompted by the Partner App;
  • Upload genuine proof when proof is required; and
  • Ensure that proof corresponds to the correct task, correct event, and correct handover or completion step.

You must not:

  • Reuse old proof photos;
  • Upload edited or misleading proof;
  • Batch-complete tasks that have not actually been completed; or
  • Mark delivery, collection, pickup, handover, or report-related actions as complete if the underlying event has not actually occurred in the manner required by the workflow.

If an exception occurs — including customer unreachable, address mismatch, store closure, inability to collect a sample, handover delay, incorrect package, or similar issue — you must record it honestly using the available exception handling steps in the Partner App and follow operational instructions.

12. Communications and Use of Contact Information

The Partner App may display contact information, including patient/customer phone numbers, pickup/drop contacts, or partner hub contacts, where communication is necessary for operational execution.

You must:

  • Contact people only when necessary to complete the assigned task;
  • Keep communications professional, respectful, and operational in nature; and
  • Stop contacting the person once the operational need is resolved.

You must not:

  • Save customer phone numbers for later personal or commercial use;
  • Call or message customers for marketing, solicitation, personal contact, or side-business activity; or
  • Share customer contact details with anyone not authorized for the task.

13. Device Features, Permissions, and Operational Tools

Depending on your role and workflow, the Partner App may require use of device features such as:

  • Camera access for proof capture;
  • File or photo access for upload of required documents;
  • Location access for navigation or operational verification;
  • Phone or dialer access for operational calls; and
  • Notification permissions for task alerts and reminders.

You are responsible for using these features only for lawful and authorized task execution.

Any attempt to manipulate device features in order to falsify operational actions — including location spoofing or fabricated device behavior where location or device state is used operationally — is a serious breach of these Terms.

If you disable permissions necessary for your role, certain workflows or tasks may not function correctly or may not be assignable to you.

14. Operational Availability, Workflow Limits, and Platform Dependency

The Partner App is an operational tool and may depend on:

  • Connectivity and device performance;
  • Partner configuration and operational capacity;
  • Third-party service providers, including mapping or navigation services; and
  • Real-world factors such as traffic, operating hours, closures, safety restrictions, local conditions, or service-area limitations.

We do not guarantee that:

  • Tasks will always be available;
  • Every workflow step will be available in every geography, shift, or partner configuration; or
  • The Partner App will always be uninterrupted, error-free, or available at all times.

We may modify workflows, task logic, screens, operational validations, or partner requirements from time to time in order to improve reliability, safety, compliance, or operational performance.

15. Suspension, Restriction, Investigation, and Termination

We may suspend, restrict, or terminate your access to the Partner App, including limiting role permissions or fully deactivating your access, if we reasonably believe that you have:

  • Misused operational or personal data;
  • Engaged in prohibited conduct;
  • Falsified task actions, proof, or workflow records;
  • Compromised account or platform security;
  • Shared credentials or enabled unauthorized access; or
  • Harmed operational integrity, partner trust, legal compliance, or safety.

We may also:

  • Preserve records, logs, proofs, uploads, and other relevant operational material for investigation purposes; and
  • Share relevant misuse findings with your partner entity, affected stakeholders, and lawful authorities where required by law or where reasonably necessary for investigation, enforcement, or protection of rights.

Any suspension, restriction, or termination does not end your confidentiality, acceptable use, or data-handling obligations with respect to information accessed during your use of the Partner App.

16. Intellectual Property and Platform Rights

The Partner App, the ZOKTO brand, associated workflows, software, interfaces, and related platform technology are owned by or licensed to VYSN Technologies Private Limited and/or its affiliates, licensors, or permitted entities, including where applicable ZOKTO Healthcare Private Limited, and are protected under applicable intellectual property laws. Public company records reflect the CINs for VYSN Technologies Private Limited and ZOKTO Healthcare Private Limited, and the ZOKTO website publicly lists info@zokto.in as a contact email.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Partner App solely for authorized partner operations and only in accordance with these Terms.

You must not:

  • Copy, modify, distribute, sublicense, sell, lease, or commercially exploit the Partner App;
  • Create derivative works from the Partner App;
  • Reverse engineer or attempt to extract source code except to the extent expressly permitted by applicable law; or
  • Remove, obscure, or alter proprietary notices, brand notices, or rights notices.

17. Disclaimers, No Medical Advice, and Role Limits

You acknowledge and agree that:

  • The Partner App is an operational coordination tool only;
  • It does not provide medical advice or diagnosis;
  • Nothing in the Partner App authorizes you to alter prescriptions, give medical conclusions, or act as a medical practitioner; and
  • You remain responsible for complying with your role duties, your partner entity’s operational policies, and all applicable legal and safety requirements relevant to your work.

18. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not responsible for losses arising from your misuse of the Partner App, your breach of these Terms, or your violation of your partner entity’s internal policies;
  • We are not liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising out of or connected with operational interruptions, delays, connectivity failures, device issues, real-world constraints, or third-party service failures; and
  • Our provision of the Partner App does not make us responsible for your independent misconduct, unauthorized acts, or misuse of information.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted under applicable law.

19. Privacy Policy Cross-Reference

Your use of the Partner App is also subject to the ZOKTO Partner App Privacy Policy, which explains how relevant information may be collected, used, shared, processed, and protected in connection with partner workflows.

These Terms govern how you must behave and how you must handle operational information. The Privacy Policy governs how we handle information in connection with the Partner App.

If you do not agree with the applicable Privacy Policy, you must not use the Partner App.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in workflows, operational controls, legal requirements, compliance needs, or platform improvements.

Updated Terms may be published on the website, within the Partner App, or through other reasonable notice channels. Your continued use of the Partner App after such update constitutes acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, the courts located in Khammam, Telangana shall have jurisdiction over disputes arising out of or in connection with these Terms.
