ZOKTO Staff App Terms of Use

Effective Date: 18 March 2026

These Terms govern your access to and use of the ZOKTO Staff App. By downloading, installing, accessing, or using the Staff App, or by submitting an application through it, you agree to be bound by these Terms.

Overview

These ZOKTO Staff App Terms of Use (“Terms”) govern your access to and use of the ZOKTO Staff App (the “Staff App”). Please read these Terms carefully. By downloading, installing, accessing, or using the Staff App, or by submitting an application through the Staff App, you agree to be bound by these Terms. If you do not agree, do not use the Staff App. General terms

Introduction and Acceptance

1.1 Contractual nature

These Terms form a binding agreement between you and VYSN Technologies Private Limited (and, where applicable, ZOKTO Healthcare Private Limited) regarding your use of the Staff App.

1.2 Acceptance methods

You accept these Terms by any of the following: (a) clicking acceptance in the Staff App; (b) accessing or using the Staff App; or (c) submitting an application or any onboarding information through the Staff App.

1.3 If you are using on behalf of an organisation

If you use the Staff App as part of your employment, engagement, or assignment, you confirm that you are authorised to do so and will comply with all applicable internal policies and lawful instructions. These Terms govern use of the Staff App and do not replace your employment/engagement terms.

1.4 Conflict management

If these Terms conflict with a lawful internal policy that applies to your role (including confidentiality and information-security policies), the stricter requirement applies. Nothing in these Terms limits rights or obligations that cannot be limited under applicable law.

Scope and Who These Terms Apply To

2.1 Staff-only operational tool

The Staff App is a restricted, role-based internal/operational application. It is intended only for authorised internal operational use and for authorised applicants using the apply/onboarding lane where provided.

2.2 Not a public-use application

The Staff App is not: (a) a consumer or patient app; (b) a doctor app; (c) a partner app; or (d) a public-use app. If you are not authorised, you must not access or use the Staff App.

2.3 Who is covered

These Terms apply to: (a) authorised staff-side operational users, including Operations Staff, Supervisors, and other authorised internal operational users (each a “Staff User”); and (b) Operations Staff applicants, Supervisor applicants, and other applicants using any apply or onboarding flow within the Staff App (each an “Applicant”).

2.4 Applicants versus Staff Users

Submission of an application does not grant operational access. Operational access begins only after activation/authorisation by ZOKTO/admin and assignment of a role and permissions.

2.5 Definitions

For these Terms: (a) “ZOKTO” is a trademark/brand of VYSN Technologies Private Limited. (b) “Authorised Use” means use strictly within your assigned operational role, permissions, and lawful instructions. (c) “Operational Information” includes task queues, request details, coordination details, internal notes, escalation traces, correction history, and other workflow information displayed or processed through the Staff App. (d) “Confidential Information” includes all non-public information you access or handle through the Staff App, including Operational Information, personal data, and any sensitive healthcare-adjacent information.

Who We Are

3.1 Brand and corporate structure

(a) ZOKTO is a trademark/brand of VYSN Technologies Private Limited (“VYSN”, “we”, “us”, or “our”). (b) ZOKTO Healthcare Private Limited is a subsidiary of VYSN Technologies Private Limited. (c) Depending on operational, contractual, legal, or compliance context, certain ZOKTO services, notices, or support functions may also be issued, managed, or supported through ZOKTO Healthcare Private Limited.

3.2 Contracting entity

Unless otherwise communicated for a specific workflow, your contractual relationship for Staff App access is with VYSN. Where ZOKTO Healthcare Private Limited provides or supports certain functions, it may also enforce these Terms to the extent applicable.

Staff App Purpose and Operational Nature

4.1 Operational platform

The Staff App supports internal operations, including task queues, request handling, workflow processing, escalations, corrections and updates, assignment and reassignment, and internal coordination.

4.2 Role-limited visibility

The Staff App may provide broader internal operational visibility than partner-side tools because staff operations must coordinate and resolve exceptions. Visibility remains role-based, purpose-limited, and subject to monitoring and audit.

4.3 No independent authority from the app

Nothing in the Staff App authorises you to act beyond your assigned operational role, platform permissions, or lawful instructions. You must not represent that the Staff App grants you authority, certification, or approval beyond what is formally assigned.

4.4 Supervisor role clarity

A “Supervisor” role in the Staff App indicates an internal operational oversight function and does not automatically imply pharmacist status, clinical authority, or any regulated professional status. Role permissions are controlled by platform/admin assignment.

Eligibility, Authorisation, and Role-Based Access

5.1 Eligibility

You may use the Staff App only if: (a) you are at least 18 years of age; (b) you are authorised as a Staff User or are an Applicant using the apply lane; and (c) you can comply with these Terms and applicable internal policies.

5.2 Authorisation and role assignment

Authorisation, role assignment, and operational privileges are determined and controlled by ZOKTO/admin. We can change, restrict, or revoke permissions at any time for operational, security, compliance, or legal reasons.

5.3 No transfer or delegation

Your access is personal to you. You must not transfer, loan, share, sell, sublicense, or delegate your account or access to any other person.

5.4 Separate policies and instructions

Use of the Staff App is also subject to applicable internal policies, onboarding requirements, confidentiality requirements, information-security policies, and lawful operational instructions.

Applicant and Onboarding Terms

6.1 Application submission and truthfulness

If you apply through the Staff App, you agree that all information you provide is true, accurate, complete, and not misleading. You must promptly correct any errors if requested.

6.2 Verification steps

The Staff App may require phone verification (including OTP verification) and may request documents, photographs/selfies, or other proofs for onboarding. You agree to complete such steps as required for evaluation.

6.3 No guarantee of approval or activation

Application submission does not guarantee approval, activation, employment, engagement, assignment, or continued access. We can reject, pause, discontinue, or close an application process at our discretion, subject to applicable law.

6.4 Requests for additional information

We may request additional information or clarifications for application processing. Failure to provide requested information may result in rejection or non-activation.

6.5 No operational access until activation

Applicants must not attempt to access operational workflows, queues, or operational information unless and until access is activated and permissions are granted.

6.6 Applicant communications

You consent to receiving communications related to your application and onboarding through the Staff App and authorised operational channels. Such communications are limited to recruitment/onboarding administration.

Accounts, Authentication, and Credential Security

7.1 Account creation and access methods

Access may be provided via phone number, OTP, credentials, device binding, or other authentication methods determined by us.

7.2 Credential responsibility

You are responsible for maintaining the confidentiality of your credentials, OTPs, and access methods. You must not share credentials or allow others to use your account.

7.3 Device security

You must take reasonable security steps on any device used for the Staff App, including using device locks and avoiding use on compromised devices. You must not use the Staff App on rooted/jailbroken or otherwise security-compromised devices.

7.4 Reporting compromise

If you suspect unauthorised access, credential compromise, or a security incident, you must report it promptly through internal channels or using the contact details in Section 20. Delay in reporting can increase risk and may be treated as a compliance failure. Operational rules and confidentiality

Operational Use Rules

8.1 Authorised Use only

You must use the Staff App only for legitimate operational purposes within your role, queue assignment, and permissions.

8.2 Operational discipline and workflow integrity

You must follow platform workflows and lawful instructions. You must not create informal parallel workflows that bypass required steps, approvals, or logs.

8.3 Corrections and updates

Corrections (including address/location corrections, status corrections, rescheduling changes, or other workflow updates) must be performed only through authorised workflows and only when you have a valid operational basis and permission.

8.4 Internal notes and operational remarks

Any internal notes you create must be factual, relevant to the workflow, and professional. You must not include unnecessary personal opinions, sensitive personal commentary, or irrelevant information.

8.5 Escalations and exception handling

Escalations must be raised and handled through authorised escalation pathways. You must not use escalation mechanisms for harassment, retaliation, or improper pressure.

Confidentiality and Restricted Data Handling

9.1 Confidentiality obligations

All Confidential Information accessed or processed through the Staff App is strictly confidential and intended for internal operational use only. This includes patient/customer information, partner information, internal operational records, and system information.

9.2 Need-to-know access

You must access information only on a need-to-know basis and only for valid operational purposes related to assigned tasks or authorised supervision.

9.3 No unauthorised browsing

You must not search, browse, or view records (including requests, profiles, reports/status, contact details, addresses, or notes) unless required for authorised operational work.

9.4 No personal use

You must not use any patient/customer/partner/staff information for personal purposes, including personal contact, personal benefit, marketing, non-authorised follow-ups, or any non-work-related activity.

9.5 No off-platform export or disclosure

You must not copy, export, transmit, store, or disclose Staff App content outside authorised systems and channels, except where a specific, documented operational authorisation exists.

9.6 Screenshots, recording, and external storage

Screenshots, screen recordings, photographs, transcription, or any form of content capture is prohibited unless expressly permitted for a defined operational purpose under applicable internal policy and role permission. Even where permitted, captured content must be handled under strict controls and must not be stored on personal devices or personal cloud accounts.

Uploads, Notes, and Operational Records

10.1 Upload responsibilities

If you upload documents, images, or other content (including proofs, onboarding documents, or operational evidence), you confirm that: (a) you have the right to provide such content; (b) it is authentic and not manipulated; and (c) it does not violate any law or internal policy.

10.2 Integrity of evidence

You must not tamper with, fabricate, or falsify any operational evidence, timestamps, location signals, completion proofs, notes, or status changes.

10.3 Ownership and use of operational records

Operational records created within the Staff App (including internal notes, escalation traces, correction history, and task logs) are maintained as part of service operations. To the extent permitted by law, you acknowledge that such records are work-related operational records and may be retained, reviewed, audited, and used for operational, security, compliance, and dispute-management purposes.

10.4 Licence to use uploaded content

To the extent necessary for operations and compliance, you grant us a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, and process your uploads and notes within ZOKTO systems for authorised operational purposes (including verification, quality review, compliance, audit, and dispute handling).

Communications and Authorised Contact

11.1 Authorised communications only

Where your role authorises you to communicate with patients/customers, partner entities, laboratories, pharmacies, or internal teams, you must do so only for legitimate operational purposes and only in accordance with platform workflows and lawful instructions.

11.2 Prohibition on misuse of contact information

You must not use any phone number, address, or other contact information obtained through the Staff App for personal communication, personal storage, social contact, harassment, unsolicited messaging, or any unauthorised follow-up.

11.3 Approved channels and professional conduct

You must use authorised channels and maintain professional conduct. You must not threaten, mislead, intimidate, or misrepresent your role, authority, or approval status.

11.4 Logging and monitoring

Operational communications and interaction records may be logged or monitored for service integrity, safety, security investigations, training, quality review, and compliance purposes, subject to applicable law and internal policy.

No Medical Advice and No Clinical Authority

12.1 No medical advice

The Staff App does not provide medical advice and is not a substitute for professional medical judgement. You must not use the Staff App to deliver medical advice, diagnoses, prescriptions, or clinical decisions.

12.2 No independent clinical authority

If you are not authorised and qualified under applicable law and internal policy to perform a clinical function, you must not attempt to do so. Nothing in the Staff App confers clinical authority.

12.3 Operational support only

Any health-related or report-linked information visible in the Staff App is shown only for operational coordination and workflow completion. You must handle it as Confidential Information and only within Authorised Use. Prohibited Conduct You must not, and must not attempt to:

13.1 Unauthorised access and circumvention

(a) access the Staff App without authorisation; (b) bypass role restrictions, access controls, or security measures; (c) probe, scan, or test vulnerabilities; or (d) access data beyond your permissions.

13.2 Impersonation and misrepresentation

(a) impersonate any person or role; (b) misrepresent being a pharmacist, clinician, supervisor, admin, or authorised representative if you are not; or (c) misrepresent approval, activation, or authority.

13.3 Credential sharing or access delegation

(a) share accounts, OTPs, or credentials; (b) allow another person to use your account; or (c) operate the Staff App on behalf of another person without explicit authorisation.

13.4 Data misuse

(a) use data for personal benefit; (b) disclose data to unauthorised persons; (c) store data outside authorised systems; or (d) capture data via screenshots/recordings without explicit authorisation.

13.5 Workflow manipulation

(a) tamper with location, timestamps, or task status; (b) fabricate evidence; (c) manipulate queues, assignment logic, or escalation pathways for improper purposes; or (d) interfere with investigations, audits, or compliance reviews.

13.6 Unlawful or harmful content and conduct

(a) upload malware or harmful code; (b) harass, threaten, or discriminate; or (c) use the Staff App for any unlawful, unethical, or abusive purpose. Platform rights and legal terms

Monitoring, Audit, Restriction, Suspension, and Termination

14.1 Monitoring and audit rights

To protect confidentiality, service integrity, and security, we may monitor Staff App usage, including access logs, session activity, workflow actions, and operational records. You agree to such monitoring as a condition of using the Staff App.

14.2 Investigation and cooperation

We may investigate suspected misuse, policy violations, fraud, or security incidents. You agree to cooperate with lawful investigations and to provide information reasonably requested for such purposes.

14.3 Restriction, suspension, and termination

We can restrict, suspend, or terminate your access to the Staff App at any time, with or without notice, including for: (a) suspected misuse; (b) violation of these Terms or internal policy; (c) security risk; (d) operational changes; (e) role changes; or (f) legal or compliance requirements.

14.4 Consequences of violation

Violations can result in access revocation, disciplinary action, termination of employment/engagement (as applicable), reporting to authorities, and legal action.

14.5 Return of access and continued obligations

Upon suspension or termination, you must immediately stop using the Staff App. Confidentiality obligations survive suspension or termination.

Intellectual Property and Platform Rights

15.1 Ownership

The Staff App, its software, design, workflows, databases, and all associated intellectual property are owned by VYSN and/or its licensors (and, where applicable, ZOKTO Healthcare Private Limited).

15.2 Limited licence

Subject to these Terms and your authorisation, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Staff App solely for Authorised Use.

15.3 Restrictions

You must not copy, modify, distribute, reverse engineer, decompile, or attempt to extract source code from the Staff App except to the extent expressly permitted by applicable law. You must not remove proprietary notices.

15.4 Feedback

If you provide feedback, suggestions, or improvement ideas, you grant us the right to use them without restriction or compensation, to the extent permitted by law.

Disclaimers

16.1 Restricted operational tool

The Staff App is provided for internal operational use. It depends on connectivity, device performance, and service availability and may experience interruptions or errors.

16.2 No guarantee of uninterrupted availability

We do not guarantee that the Staff App will be uninterrupted, timely, secure, or error-free. Workflows may depend on other systems and participants (including partners, pharmacies, laboratories, and network providers).

16.3 Operational instructions prevail

If there is a discrepancy between the Staff App display and a lawful instruction from authorised operations/admin for safety, compliance, or service integrity reasons, the lawful instruction prevails.

16.4 Third-party services and devices

Your use of devices and third-party services (such as mobile operating systems, app stores, and network providers) is governed by their terms. We are not responsible for third-party service failures outside our control.

Limitation of Liability

17.1 Internal-use context

To the maximum extent permitted by applicable law, VYSN, ZOKTO Healthcare Private Limited, and their directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, loss of data, business interruption, reputational loss, or loss arising from unauthorised access or misuse by any user.

17.2 Cap on liability

To the maximum extent permitted by applicable law and subject to Section 17.3, our aggregate liability arising out of or relating to the Staff App or these Terms will not exceed INR 10,000.

17.3 Non-excludable rights

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnity and Responsibility

18.1 Your responsibility

You are responsible for your use of the Staff App, including compliance with these Terms, internal policies, lawful instructions, and applicable law.

18.2 Indemnity

To the maximum extent permitted by applicable law and consistent with any applicable employment/engagement terms, you agree to indemnify and hold harmless VYSN and ZOKTO Healthcare Private Limited against losses, claims, damages, penalties, and expenses arising from: (a) your unauthorised use; (b) breach of these Terms; (c) breach of confidentiality; (d) misuse of data; or (e) unlawful conduct.

18.3 Mitigation and cooperation

You agree to promptly inform us of any claim or incident related to misuse and to cooperate in investigations and mitigation steps.

Governing Law and Jurisdiction

19.1 Governing law

These Terms are governed by and construed in accordance with the laws of India.

19.2 Jurisdiction

Subject to applicable law, the courts at Hyderabad, Telangana will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Staff App.

19.3 Injunctive relief

You acknowledge that unauthorised access or disclosure of Confidential Information can cause irreparable harm, and we may seek injunctive or equitable relief in addition to other remedies. Contact and company details

Changes to These Terms and Contact Details

20.1 Updates to Terms

We may update these Terms to reflect operational, legal, security, or service changes. Updated Terms may be made available through the Staff App or other appropriate channels. Continued use of the Staff App after an update becomes effective constitutes acceptance of the updated Terms, to the extent permitted by law and consistent with your employment/engagement obligations.
